Does ICS require ActiveSync, or can I just use the RNDIS Driver?

My company is finally providing me with a laptop for work and I would like to be able to use the Internet Connection Sharing through my Touch. I've done this many times in the past with my personal computer, but I would prefer not to install ActiveSync on my work computer. My company uses Lotus, so there isn't much to sync anyway.

I think I will have some difficulty getting them to install ActiveSync on their precious bundle, but I may be able to convince thems to install the RNDIS Driver (http://www.microsoft.com/whdc/device...DIS/rndis.mspx)... Is this all I need, or is there something else in ActiveSync that makes this possible?
