You should be able to overwrite it with another file of the same name. Just create or find a small .wav file and name it phoneon.wav. Then copy to \Windows.
Edit: I looked and found this reg entry. I assume that you could change the Enabled to 0. If not, change the file names. Code:
[HKEY_CURRENT_USER\ControlPanel\PhoneExtendFunction\CDMA\FlightModeOnOFF] "Sound_off"="\\windows\\PhoneOff.wav" "Sound_on"="\\windows\\PhoneOn.wav" "EnableSound"=dword:00000001

Re: phoneon.wav SOUND
Did you try making a new wave sound, rename it and drop it in the windows folder like the person above selected.

Re: phoneon.wav SOUND
Its possible to edit the file just depends on which file explore you use, I myself use resco explorer and was able to edit the file without a issue, also the reg edit will also resolve the issue you are having, Now you can change the sounds when the phone turns off and on in settings - sounds and notifications. Just add the wav or mp3 file you want to the windows folder and it will show in the list
