I can't think of any downside to rooting, just upsides like having a faster, smoother running rom without all the bloatware that gets put on them stock, plus you unlock features like hot spot and tethering, only thing I will say is to make sure that you do a nandroid so that if something gets messed up or you loose your wimax rsa keys that you will have a back-up of them.

There are a few roms that are just like stock without the bloatware, just read a lot and watch some youtube videos to see how the process is done if you haven't already.

When an OTA comes out, it is just a matter of hours before the XDAs boys have it rooted and cleaned up. Unrooting is a no brainer, if you choose to go that route.

The only reason I can think of not rooting is that you already like your phone too much.
