ActiveSync runs pretty much all the time, and despite some people's irritation with it, that's NOT a problem. I just add it to the Task Manager Exclusive list so it doesn't show up all the time.

Setting it up to use the Exchange Server sync is more of a discussion with your Exchange Server admins, because they have to enable it on the server side and provide you with the server settings and possibly a certificate.
