It could be that your computer can't have multiple network interfaces active at one time. If you are talking to the device using RNDIS, it just doesn't work. Try turning off the "enable advanced features" on your phone. Go to Start - Settings then go to the connections tab and click on USB to PC. clear the Enable advanced network features and see if it will connect now. That solved my problem!
