Question Why is ActiveSync Running in the Background ?

When I am not Syncing, I notice the following:
1) When I check Task Manager 3.1, ActiveSync is not running and the Diamond task manager does not show it running either.
So far , so good.
BUT
2) When I check MemMaid, it shows ActiveSync Running even though I am not using it
Why is this?

When I see it running, I terminate it.
Does it cause battery drain if I don't terminate it, and should I leave it running? if it is really running.
